The Parent and its Subsidiaries on a consolidated basis will maintain, as of the end of each Fiscal Quarter, commencing with the Fiscal Quarter ending on September 30, 2026, a Consolidated Leverage Ratio of not greater than 3.00:1.00; provided that, the maximum Consolidated Leverage Ratio permitted to be maintained pursuant to this Section 6.2 shall increase by (i) 0.50:1.00 for the Fiscal Quarter in which a Qualified Acquisition has occurred and for the subsequent three Fiscal Quarters and (ii) 0.25:1.00 for the fifth and sixth Fiscal Quarters after which a Qualified Acquisition has occurred; provided further, that, in no event shall the maximum Consolidated Leverage Ratio permitted under this Section 6.2 exceed 3.50:1.00 as the result of any such “step-up” provided for herein.
