REVOLVING CREDIT AND SECURITY AGREEMENT

Springing: Financial Testing Period commencing when Undrawn Availability is less than 12.5% of the Maximum Loan Amount and ending after Undrawn Availability is ≥ 12.5% for 30 consecutive days.

Cause to be maintained as of the end of each fiscal quarter immediately preceding the commencement of a Financial Testing Period for which Agent has received or was required to receive financial statements pursuant to Section 9.8 hereof, and each fiscal quarter thereafter until such Financial Testing Period terminates, a Fixed Charge Coverage Ratio of not less than 1.00 to 1.0, measured on a trailing four (4) quarter basis.
